The shareholders of Nordea 1, SICAV (the “Company“) are hereby informed of the following changes that will be implemented in the prospectus of the Company (the “Prospectus”) with effect from 25 March 2011 (the “Effective Date”), unless a different date is defined for individual changes hereafter:
Amendments concerning certain Sub-funds of the Company:
• Nordea 1 – Global Equity Fund
The name of the Sub-Fund will be changed to Nordea 1 - Global Theme Select Fund
• Nordea 1 – Biotech Fund
The name of the Sub-Fund will be changed to Nordea 1 - Senior Generations Equity Fund and the investment policy will be modified as follows:
“This Sub-fund aims to preserve the Shareholder’s capital and to provide an adequate rate of return on the investment.
Eligible assets, investment policy and risk profile
This Sub-fund shall invest a minimum of two-thirds of its total assets (after deduction of cash) in equities, other equity shares such as co-operative shares and participation certificates (equities and equity rights), dividend-right certificates, warrants on equities and equity rights issued by companies which are positioned to benefit from the implications of a growing ageing population in most of the World.
This Sub-fund may invest up to one-third of its total assets in bonds, warrants on bonds and other debt instruments denominated in various currencies as well as in equities, other equity shares such as co-operative shares and participation certificates (equities and eq-uity rights), dividend-right certificates, warrants on equities and equity rights which do not meet the above-mentioned restriction.
This Sub-fund may accessorily hold liquid assets in all currencies in which investments are effected as well as in the currency of its re-spective share Class(es) and/or Sub-class(es).
This Sub-fund may from time to time use currency hedging to hedge local currency exposure into the Sub-fund’s Base Currency.
The investments made in this Sub-Fund may be subject to substantial fluctuations and no guarantee can be given that the value of the Shares will not fall below the value at the time of their acquisition.”
The Sub-Fund will no longer have a reference index.
• Nordea 1 – Global High Yield Bond Fund
The Management Fee will be increased from 0.85% to 1% for retail share classes BP, E, HB and HE and from 0.5% to 0.7 % for institutional share classes AI, BI, HAI and HBI.
● Nordea 1 – European Corporate Bond Fund
The Management Fee will be increased from 0.2 % to 0.3% for the institutional share classes BI and HBI.
● Nordea 1 – Latin American Equity
The Management Fee will be increased from 0.85% to 1% for the institutional share class BI.
● Nordea 1 – Danish Mortgage Bond Fund:
The investment policy will be modified in order to remove, for the remaining one-third of the Sub-Fund’s total assets, the possibility for the Sub-Fund to invest in a maximum of 10 percent of its total assets in equity securities
● Nordea 1 - North American Value Fund; Nordea 1 - US High Yield Bond Fund; Nordea 1 – US Corporate Bond Fund; Nordea 1 – Low Duration US High Yield Bond Fund; Nordea 1 – Global High Yield Bond Fund:
The respective Advisors Private Capital Management, L.P., Naples, Florida, United States of America and MacKay Shields LLC, New York, United States of America) of these sub-funds will be appointed sub-managers to NIM AB Denmark.
Shareholders are further informed of the appointment of Nordea Bank Danmark A/S as Representative Agent of the Company in Den-mark.
Shareholders who do not agree to the changes as described above may redeem their Shares free of any charges. Such instruction must be received in writing by Nordea Bank S.A. at the below address by 22 March 2011, 15:30 CET at the latest.
